           Vodafone AirTouch Plc - Annual General Meeting 1999
                                    

The  Annual  General Meeting of Vodafone AirTouch Plc was  held  at  The
Institution  of  Electrical  Engineers,  Savoy  Place,  London  WC2   on
Wednesday  21  July 1999.  The Articles of Association  of  the  Company
require extraordinary and special resolutions to be approved by  a  vote
on a poll.

The results of polls on resolutions 5 and 6 were as follows:
