Subsid's Agreement Signed

Vodafone AirTouch PLC 31 May 2000 VODAFONE AIRTOUCH EXPANDS OPERATIONS INTO KENYA Vodafone AirTouch Plc ('Vodafone AirTouch') announces today that its wholly owned subsidiary Vodafone Kenya Limited has signed an agreement with Telkom Kenya to form Safaricom Limited ('Safaricom'). Safaricom will be owned 60% by Telkom Kenya and 40% by Vodafone AirTouch and includes all the assets and subscribers of the previous cellular operation of Telkom Kenya. The consideration for the licence from the Kenyan Government amounted to $55 million. Safaricom is currently the only cellular operator in Kenya and has a 15 year GSM 900 licence. Safaricom has also acquired the existing ETACS network which provides service in the major towns in Kenya.
