                        Volex Group plc (the 'Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 933,055 Ordinary shares of 25p each ('shares') to be
admitted to the Official List.

Admission is expected to be granted today, 17 March 2004 and it is expected that
trading will commence on 18 March 2004.

These shares are being issued as a result of the exercise of share warrants and
will rank pari passu with the existing issued ordinary shares. Following this
conversion there will be 494,945 warrants outstanding with an exercise period
running until June 2007. These warrants were issued as part of the Company's
bank facility renewal in June 2002.
