Issue of Offer Ordinary Shares

Further to the publication of the prospectus setting out details of, inter alia, the offer for subscription, the Company is pleased to announce that it has today allotted 1,500,000 Offer Ordinary Shares of nominal value £0.02 in the capital of the Company at a price of £0.17 per share ("Share Allotment") in exchange for subscriptions equal to £255,000. The "Offer Ordinary Shares", are defined in the prospectus http://vordere.com/investor-relations/prospectus/.

The Company's total issued share capital as of the date of this announcement is 188,177,896 of shares of nominal value £0.02. Therefore, the total number of voting rights in the Company is 188,177,896. However, following Company's recent Share Allotment on 13 December 2017 and 14 December 2017, the issued share capital will be 192,521,010 shares. The Company does not hold any Ordinary Shares in Treasury. The total voting rights is therefore 192,521,010 shares.

An application will be made for the Offer Ordinary Shares to be admitted to the standard segment of the Official List and to trading on the London Stock Exchange's main market for listed securities. It is expected that admission will become effective and that unconditional dealings will commence on the London Stock Exchange on or around 20 December 2017.

The issued share capital figure above may be used by shareholders as the denominator for the calculations by which they determine if they are required to notify their interest in, or change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
