Annual Report, Notice of Annual General Meeting and Form of Proxy
Vp plc, the equipment rental specialist, announces that the Group's annual report and accounts for the year ended 31 March 2020, the notice convening the Group's 2020 Annual General Meeting ('AGM'), and form of proxy, will be posted to shareholders today.
The annual report and accounts, notice of 2020 AGM and form of proxy are available on the Investor Relations section of the Group's website at www.vpplc.com/investors/reports-and-presentations and copies of the documents have also been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/nsm .
Vp also announces that its 2020 AGM will be held on Thursday, 23 July 2020. The meeting will be held by webinar commencing at 10.00 a.m.
The AGM typically gives shareholders an opportunity to meet with the directors, for them to provide an update on Vp's business and to answer shareholder questions. The Board has been closely following the developing situation with Coronavirus (Covid-19) including the guidance from the UK Government and Public Health England on public gatherings. Given the possible health risks arising from attending the Meeting, the Board has concluded that it is appropriate for shareholders not to attend in person this year and, instead, to submit proxy votes.
The Board strongly recommends shareholders to vote electronically at www.signalshares.com as your vote will automatically be counted. Given the current situation sending a paper proxy is no guarantee of having your vote counted. The Board also encourages you to submit any question that you would like to be answered at the meeting by sending it, together with your name as shown on the Company's register of members, to the following email address: enquiries@vpplc.com so that it is received by no later than Friday, 17 July 2020. Lastly, a conference call link will be provided to enable shareholders to follow proceedings of the meeting. All shareholders are encouraged to use these facilities should they wish to follow the progress of the meeting. Any shareholders who wish to listen to the meeting by such means, should contact the Company Secretary prior to the day of the meeting at enquiries@vpplc.com in order to request conference dial-in details. Please note that shareholders will not be able to use this facility to actively participate in the Meeting by voting on the resolutions or asking questions. It is therefore recommended that shareholders vote on the resolutions using Signal Shares and submit any questions prior to the Meeting.
There will be no presentations from the directors and the Meeting will end immediately following the business of the Meeting. The Company is taking these precautionary measures to safeguard its shareholders' and employees' health and make the Meeting as safe and as efficient as possible.
