The Remuneration Committee approved on 20th June 2003 the granting by the
Company of awards under the terms of the Long Term Incentive Plan to each of the
following directors : J.F.G. Pilkington - 120,000 notional shares and N.A.
Stothard - 120,000 shares.

The award will vest only if performance targets are achieved or exceeded during
the period from 1st April 2003 to 31st March 2006.
