                     Appointment of Non-executive Director


The Company is pleased to announce the appointment to the board of John Padovan
as a non-executive director of the Company with immediate effect. John has an
outstanding record in the City and in industry and the board look forward to his
wise counsel in steering the future development of the group.

John Mario Faskally Padovan, age 67, qualified as a Chartered Accountant with
PriceWaterhouse & Co before moving to County Bank Ltd, the merchant banking
division of National Westminster Group, in 1970. After progressing to Chairman
of County Bank Ltd, John moved to Hambros plc as Deputy Chairman of Hambros Bank
before then moving to Barclays de Zoete Wedd Holdings Limited, the stockbroking
business of Barclays Group plc, where he held senior board positions. Since
leaving Barclays de Zoete Wedd Holdings Ltd in 1991, John has been appointed as
a director to a variety of companies including Tesco plc and Interserve plc.


John Padovan is currently a director of the following companies:
