                              Total Voting Rights



In accordance with the transitional provisions of the Financial Services
Authority's Disclosure and Transparency Rules, WH Ireland Group plc ('WH Ireland
' or 'the Company') confirms that, as at the date of this notice, its ordinary
share capital comprises 17,200,922 ordinary shares of 5p each ('Ordinary
Shares').

211,822 of the Ordinary Shares are held in treasury.  The total number of voting
rights in the Company is therefore 16,989,100.

The above figure may be used by shareholders of the Company as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the share capital of WH
Ireland under the Disclosure and Transparency Rules.
