In accordance with Disclosure and Transparency Rule 5.6, WH Ireland confirms
that the total number of Ordinary Shares of 5 pence each in the capital of the
Company in issue as at 30 April 2008 was 17,316,591. The number of Ordinary
Shares held in Treasury was 211,822. Therefore, the total number of voting
rights in the Company is 17,104,769.

The above figure (17,104,769) may be used by shareholders as the denominator for
the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the share capital of WH
Ireland Group plc under the Disclosure and Transparency Rules.
