ANNOUNCEMENT OF REPLACEMENT AND ADDITIONAL EQUITY TRANSACTIONS

9 October 2023

Wales & West Utilities Finance plc (the "Issuer") refer to the announcement published on 26 September 2023 in relation to replacement and additional equity (the "Announcement").

The Issuer announces that the transactions referenced in the Announcement have been successfully completed. Wales & West Utilities Limited ("WWU") received: (i) on 27 September 2023, £759 million of equity to replace an equivalent amount repaid to certain loan noteholders affiliated with its indirect shareholders; and (ii) on 9 October 2023, £147 million of additional equity (being the £150m less working capital requirements above WWU of £3 million).
