Grant of Share Awards under the 2014 Long Term Incentive Plan

On 29 April 2016, the following awards over ordinary 12.5 pence shares in the Company were made under the 2014 Long Term Incentive Plan (the "LTIP 2014") to Persons Discharging Managerial Responsibilities ("PDMRs") of the Company:

No consideration was paid for the grant of the awards.

The vesting of a performance award is subject to continued employment of the PDMR and the following performance conditions:

EPS

The EPS targets at entry are 2% CAGR growth and maximum vesting at 7.5%.

Minimum Vesting (25%), EPS growth of 2% per annum over the three year period to 2018 on a "point to point" basis will be required.

Maximum Vesting (100%), EPS growth of 7.5% per annum over the three year period to 2018 on a "point to point" basis will be required.

ROCE

The ROCE targets at entry are 10.5% in 2018 and maximum vesting at 12.5%

Minimum Vesting (25%), ROCE of 10.5% by 2018.

Maximum Vesting (100%), ROCE by 2018.

Performance against EPS and ROCE targets will be measured on a straight line basis.

TSR

Vesting of 25% of each element if performance matches the median of the Group, rising to 100% if performance is within the top quintile.

The TSR Comparator Group for 2016 is Amec Foster Wheeler, Atlas Copco AB, Caterpillar, Hunting, Dover Corporation, Fenner PLC, FLSmidth & Co. A/S, Flowserve Corporation, FMC Corporation, Forum Energy Technologies Inc, IMI PLC, ITT Corporation, John Wood Group PLC, Joy Global Inc., Komatsu, Metso Corporation, National Oilwell Varco, Outotec Oyj, Petrofac, Rotork PLC, Sandvik AB, Smiths Group PLC, SPX Corporation and Sulzer Ltd.

The Remuneration Committee approved the grant of 'one off' restricted share awards under the LTIP 2014 on 23 February 2016.  These awards were granted today to the PDMRs noted below.
