Secured Fixed Rate Bonds due 2029 (ISIN: XS0084965796)

and

GBP 51,000,000 7.335 per cent. Class B

Secured Fixed Rate Bonds due 2029 (ISIN: XS0084965879)

and

GBP 20,000,000 11.000 per cent. Class C

Secured Fixed Rate Bonds due 2029 (ISIN: XS0084965952)

(together, the "Bonds")

THIS NOTICE CONTAINS IMPORTANT INFORMATION THAT IS OF INTEREST TO THE REGISTERED AND BENEFICIAL OWNERS OF THE BONDS. IF APPLICABLE, ALL DEPOSITORY, CUSTODIANS AND OTHER INTERMEDIARIES RECEIVING THIS NOTICE ARE REQUIRED TO EXPEDITE TRANSMITTAL TO BENEFICIAL OWNERS OF THE BONDS IN A TIMELY MANNER.

This Notice is addressed only to holders of the Bonds (as defined below) and persons to whom it may otherwise be lawful to distribute it ("relevant persons"). Any investment or investment activity to which this Notice relates is available only to relevant persons and will be engaged in only with relevant persons.

If you have recently sold or otherwise transferred your entire holding(s) of any of the Bonds referred to below, you should immediately forward this document to the purchaser or transferee or to the stockbroker, bank or other agent through whom the sale or transfer was effected for transmission to the purchaser or transferee.

IMPORTANT NOTICE TO BONDHOLDER

Wellington Pub Company PLC's (the "Company") hereby gives notice to the bondholders of its Bonds that the Company has applied to the Financial Conduct Authority ("FCA") and the London Stock Exchange to effect a cancellation of the listing of its Bonds from the standard listing segment of the FCA's Official List and from trading on the Main Market of the London Stock Exchange ("Delisting"). Following the Delisting, the Company will no longer be subject to the regulatory and statutory regime which applies to companies admitted to the standard segment of the Official List and traded on the Main Market. The Delisting will allow the Company to save costs, reduce its administrative and regulatory burden, and provide it with flexibility to pursue other options.
