WITHDRAWAL OF PREFERENCE SHARES

The General Meeting of Shareholders of Wereldhave N.V. (investment company with variable capital, established in The Hague), has decided to withdraw all issued preference shares in the capital of Wereldhave N.V.. The withdrawal date is July 8, 2009. As a consequence of the withdrawal, the listing on the stock exchange of these preference shares will end as per July 8, 2009.

The preference shares have a nominal value of EUR 9.08, of which one/fourth has been paid up. To the holders of preference shares, the paid up capital of EUR 2.27 per share will be reimbursed, together with the dividend as stipulated in the articles of association over the part of the year that has already passed up to the withdrawal. The dividend amounts to EUR 0.0536 per share, before deduction of the applicable withholding tax of 15%.

The decision to withdraw the preference shares was announced to the public on April 4, 2009. The holders of preference shares will be informed directly by Wereldhave at their last known address.
