Conversion of Loan Note and Exercise of Employee Share Options
Westminster Group Plc ('Westminster' or 'the Company'), the AIM listed supplier of advanced security and defence equipment, services and solutions worldwide announces a conversion of debt and an exercise of employee share options.
1. The Company has been informed by a holder of the secured loan notes which were issued in June 2013 that they wish to convert £25,000 of this loan stock at the conversion price of 35 pence per ordinary 10 pence share. Consequently a further 71,428 new ordinary shares of 10p each will be issued.
2. A recently retired employee has exercised their 2000 share options with a strike price of 10 pence each. Therefore a further 2,000 new ordinary shares will be issued.
In aggregate 73,428 new ordinary shares of 10 pence each will be issued ("New Shares"). Admission is expected on 11 December 2013.
Total Voting Rights
Following Admission of the 73,428 New Shares, the Company's enlarged issued share capital will comprise of 46,649,231 ordinary shares with voting rights. This figure of 46,649,231 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
