Directors' Share Option Grant
The Board of Whitbread PLC has granted Mr Christopher Rogers, Finance Director,
options over 50,000 ordinary shares in the capital of Whitbread PLC under the
terms of the Whitbread 2001 Approved Executive Share Option Scheme and the
Whitbread 2001 Unapproved Executive Share Option Scheme.
Notes
• The exercise price of the options is £8.41, being the average of the
middle-market quotation of the Company's shares as derived from the official
list on the five dealing days preceding the date of grant, 23 May 2005.
• The options are exercisable only if the growth in the Company's adjusted
Earnings Per Share ('EPS') exceeds the retail price index by more than 4%
per annum over the three consecutive financial years commencing 4 March
2005. This is a fixed three year performance period and if the Earnings Per
Share target is not met over this period, the options will lapse.
