WHITBREAD PLC
In connection with the Long Term Incentive Plan ('the Plan') of Whitbread PLC
('the company'), Mourant & Co Trustees Limited ('the Trustees'), the Trustees of
the Whitbread PLC Employee Share Ownership Plan Trust (the 'ESOP') purchased on
29 February 2000 94,634 ordinary shares in the company at a price of 524.3805p.
The number of shares held by the ESOP accordingly increased to 395,539 ordinary
shares.
The ESOP is a discretionary trust and the company has undertaken to provide it
with sufficient funds to enable the Trustees to acquire the necessary ordinary
shares to satisfy their obligation to provide ordinary shares under the Plan.
The executive directors of the company, namely Mr D M Thomas, Mr A S Perelman,
Mr D H Richardson, Mr W M F C S Shannon and Mr M H Templeman are included among
the potential beneficiaries of the ESOP and accordingly are deemed to be
interested in all the ordinary shares it holds.
The company was notified of the transactions on 1 March 2000.
