WHITBREAD PLC
Whitbread PLC announces that each of the ordinary resolutions set out in the
circular to shareholders dated 5 April 2005 (the 'Circular') was passed at an
Extraordinary General Meeting held on 22 April 2005.
The resolutions provided for -
- The approval of the Transaction (as defined in the Circular) regarding the
disposal of Whitbread's Marriott hotels business; and
- The approval of the Special Dividend of 135 pence per existing Ordinary Share
and the Share Consolidation (as defined in the Circular)
Payment of the Special Dividend and the Share Consolidation are conditional upon
completion of the Transaction (as defined in the Circular) which is expected to
occur on 5 May.
A document on 'Ordinary Resolutions Passed on 22nd April 2005 at the
Extraordinary General Meeting of Whitbread PLC' has also been submitted to the UK
Listing Authority, and will shortly be available for inspection at the UK
