                           Voting Rights and Capital



In conformity with the Transparency Directive's transitional provision 6,
Whitbread PLC is required to notify the market of the following:



Whitbread PLC has 220,965,375 ordinary shares in issue, of which 852,509
ordinary shares are held in Treasury.  Therefore, the total number of voting
rights in Whitbread PLC is 220,112,866.  The ordinary shares have a nominal
value of 68 32/51p each.



The above figure of 220,112,866 shares may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in,
Whitbread PLC under the FSA's Disclosure and Transparency rules.
