Formal application has been made to the UK Listing Authority for the listing of,
and to the London Stock Exchange for the Admission of 1,458,722 Ordinary Shares
of 5p each fully paid, ranking pari passu with the existing ordinary shares, to
the Official List.

The shares will be issued as part consideration pursuant to the acquisition of
minority interests in Central Law Group Limited, announced on 27th February
2002.
