Wilmington Group plc announces that the following transactions in its ordinary
shares took place on 20 October 2006
a)Rory Conwell, a director, and Ahmed Zahedieh, the company secretary, purchased
65,568 and 32,784 ordinary shares respectively at a price of 217p. On the same
date, Rory Conwell and Ahmed Zahedieh sold these shares to Neil Smith, a PDMR,
pursuant to a previously announced private option agreement entered into by them
and Neil Smith on 23 December 1999. Rory Conwell and Ahmed Zahedieh's holdings
of ordinary shares remain unchanged at 3,907,356 and 1,916,805 which represent
4.65% and 2.28% of the issued share capital respectively.
b)Of the shares notified above, Neil Smith sold 18,439 ordinary shares at a
price of 217p. His resultant shareholding increased to 194,237, which represents
0.23% of the issued share capital.
c)Basil Brookes, the finance director, purchased 18,439 ordinary shares at a
price of 217p. His resultant shareholding increased to 845,662 which represents
1.01% of the issued share capital.
