Board Changes
Wilmington Group plc ('Wilmington') is delighted to announce a number of
changes to its Board which will become effective from 1st March 2001.
These are being made to underpin the rapid expansion of the Company since
flotation and to create a structure to enable Wilmington's ambitious
development plans to be fulfilled.
Brian Gilbert, currently Chief Executive, will become Executive Chairman to
reflect his increasing concentration on the strategic development of the
Company.
Rory Conwell, who has been a senior executive director on the Board of
Wilmington since its flotation in 1995, will be promoted to Chief Executive.
Basil Brookes, currently Finance Director, will become Group Planning and
Business Development Director. This is in response to the need to separate the
increasing demands created by the existing business and the requirement for an
appropriate resource to support our plans for future growth.
Ahmed Zahedieh, who has been an executive director and Company Secretary since
flotation, will become Finance Director. Ahmed is a highly qualified and very
experienced Chartered Accountant and in addition to his new duties will
continue as Company Secretary.
Nick Miller will continue to manage, control and develop our Publishing and
Information businesses as Managing Director, Publishing and Information.
Charles Brady, who joined with the acquisition of Central Law Training, will
retain responsibility for our Training and Event activities as Managing
Director, Training and Events.
Dennis Rooke, who has contributed to the development of the Company since 1996
as Non-Executive Chairman, has been extensively involved in the current
reorganisation and has decided he will use this opportunity to step down with
immediate effect to concentrate on his other business interests. The Company
thanks Dennis for the major contribution he has made.
We are also pleased to announce the immediate appointment as non-executive
director of David Summers. Mr Summers, 59, formerly Deputy Chairman of
Butterworths, the professional reference publishers, and previously a director
of Reed Elsevier UK Ltd, brings wide experience of publishing and
media-related matters. Since 1997 he has been Board Consultant to Central Law
Training Group, now part of Wilmington. He is also a member of the Competition
Commission and non-executive director of the Royal Society of Medicine Press.
Richard Magee will continue as our second non-executive director. However, the
Company has also initiated a search to recruit a senior third non-executive in
keeping with the recommended principles of best corporate governance and will
report on this at the earliest opportunity.

Notes:
1. There is no information concerning Mr Summers required to be disclosed
under paragraph 16.4 of the Listings Rules other than that included above.
2. A circular will be dispatched to shareholders shortly to convene an
Extraordinary General Meeting at which a resolution will be proposed to modify
Article 109 of the Company's Articles of Association to enable the office of
Chairman to be held by an executive director.
