Directors Interest
The trustees of the Wincanton Employee Benefit Trust, established on 19th
January 2004 ('the Trust'), on 30th July 2004 acquired 32,565 ordinary shares in
Wincanton plc, representing approximately 0.03 % of the issued share capital at
a price of 238 pence per share. The Trust's total holding in Wincanton plc
amounts to 1,117,565 ordinary shares, representing approximately 1% of the
issued share capital of the Company.
The purchases have been made to satisfy share-based awards under the Company's
long-term incentive schemes.
The executive directors of Wincanton plc (together with other employees), are
potential beneficiaries under such schemes and, accordingly, may be interested
in the shares held by the Trust.
