The Company was notified on Tuesday, 10 October 2006 by the trustee of the
Wincanton plc Employee Share Trust that it had transferred, on that date, 38,848
Ordinary 10 pence shares out of Trust. The transfer was in respect of an
exercise by a participant of the Wincanton plc Unapproved Executive Share Option
Scheme 2001 who was classified as a good leaver under the terms of the Scheme.
Following this transaction, the Trust holds 3,253,647 shares in the Company in
which PDMR's and the executive directors, Gerard Connell, Graeme McFaull and
Nigel Sullivan are deemed to be technically interested in under the Companies
Act. The transactions did not relate to any directors or PDMR's of the Company.
