The Company was notified on Friday, 21 July 2006 by the trustee of the Wincanton
plc Employee Share Trust that it had transferred, on 20 July 2006, 589 Ordinary
10 pence shares and on 21 July 2006, 1,295 Ordinary 10 pence shares out of
Trust.  Both transfers were in respect of two separate exercises by participants
of the Wincanton plc Share Match Incentive Scheme 2003 who were classified as
good leavers under the terms of the Scheme.


Following this transaction, the Trust holds 3,498,116 shares in the Company in
which PDMR's and the executive directors, Gerard Connell, Graeme McFaull and
Nigel Sullivan are deemed to be technically interested in under the Companies
Act.  The transactions did not relate to any directors or PDMR's of the Company.
