Vesting of Restricted Share Units, PDMR dealing and issue of new ordinary shares

Further to the announcement dated 29 September 2022, Windward  (LON: WNWD), the leading Maritime AI company, announces that the 125,807 Restricted Share Units ("RSU") granted to the Chairman and the Non-Executive Directors have vested in accordance with the terms of the RSUs.

As set out in the announcement dated 8 December 2022, the Company issued a total of 2,000,000 Ordinary Shares to IBI Trust Management (the "Pool Shares"). The Pool Shares are held in trust by IBI Trust Management solely to be used to satisfy exercise of options and/or vesting of restricted stock units. Accordingly, 125,807 ordinary shares of NIS 0.002 each in the capital of the Company ("Ordinary Shares") have been transferred to the Chairman and the Non-Executive Directors from IBI Trust Management out of the Pool Shares to satisfy the settlement of the 125,807 RSUs.
