Voting Rights and Capital

In conformity with the requirements of the Transparency Directive, the Company notifies the market of the following:

As at 30 April 2009, the capital with voting rights of Witan Investment Trust plc consisted of 213,994,054 ordinary shares of 25p each. On a poll members have one vote for every £1 in nominal value (ie four shares are required per vote). The Company has no shares in treasury.

Therefore, the total number of voting rights in Witan Investment Trust plc is 213,994,054.

The above figure (213,994,054) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Witan Investment Trust plc under the FSA's Disclosure and Transparency Rules.
