2021 Notice of Annual General Meeting
Geneva, 2 July 2021: Wizz Air Holdings Plc ("Wizz Air" or the "Company" and, together with its subsidiaries, the "Group"), the largest low-cost airline in Central and Eastern Europe, announces that it has today published the Notice of its Annual General Meeting of shareholders ("AGM" or "Meeting").
The documents listed below will be sent to shareholders and, as required under the UK Listing Rules, will be submitted to the UK Listing Authority for publication through the National Storage Mechanism where they will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism .

Alongside the above documents the Company will also send Restricted Share Notice to Non-Qualifying registered shareholders, informing them of the number of Ordinary Shares that will be treated as Restricted Shares and consequently the number of Ordinary Shares in respect of which they shall be entitled to exercise their voting rights. The Company's AGM will be held at 3.00pm (CEST) on Tuesday 27 July 2021 at Le Lumion, Route François-Peyrot 12, CH-1218 Grand-Saconnex, Switzerland.
Due to the ongoing restrictions relating to COVID-19, and in order to protect our staff and our shareholders and to adhere to local laws, physical attendance at the AGM this year will be limited to a maximum number of 30 people to ensure compulsory social distancing measures and hygiene precautions are maintained. Due to the limits on numbers, shareholders who travel to the AGM may not be admitted.
Whether or not shareholders are proposing to attend the AGM in person, Wizz Air encourages shareholders to participate in the AGM by voting by proxy to ensure all shareholder votes are counted. The business at the AGM will be curtailed to deal only with proposing and voting on the resolutions set out in the Notice of AGM, with no wider presentations on business performance.
The voting results of all resolutions proposed at the AGM will be published on the Company's website ( http://wizzair.com ) as soon as possible after the conclusion of the AGM .
Shareholders who wish to submit a question in relation to the AGM should send their question to investorrelations@wizzair.com no later than 7 days prior to the AGM. The Company will endeavour to respond to these questions as soon as practicable after the AGM.
Furthermore, Maria Kyriacou has informed the Company that she will not be available for re-election at the AGM and she will retire from the Board effective 27 July. Maria was appointed as an independent Non-Executive Director in September 2018.

Defined terms:
Capitalised terms used in this announcement shall have the same meaning as in the Company's Articles of Association.
The definitions of Qualifying National and Non-Qualifying National are repeated below:
a "Qualifying National" includes: (i) EEA nationals, (ii) nationals of Switzerland and (iii) in respect of any undertaking, an undertaking which satisfies the conditions as to nationality of ownership and control of undertakings granted an operating licence contained in Article 4(f) of Regulation (EC) No. 1008/2008 of the European Commission, as such conditions may be amended, varied, supplemented or replaced from time to time, or as provided for in any agreement between the EU and any third country (whether or not such undertaking is itself granted an operating licence); and
a "Non-Qualifying National" includes any person who is not a Qualifying National in accordance with the definition above.
