Posting of Class 1 Circular and Notice of General Meeting
Geneva, 14 July 2023: Further to the Company's announcement on 14 September 2022 that it had exercised its option to acquire an additional 75 A321neo aircraft from Airbus and its announcement on 11 July 2023 in respect of the 2023 AGM, the Company is pleased to announce that a Circular relating to the Proposed Purchase, which includes a notice of general meeting of shareholders (the "Class 1 General Meeting") and a form of proxy relating to the Class 1 General Meeting, has been posted to shareholders.
Given the size of the list price commitments for the Proposed Purchase relative to the Company, the Proposed Purchase constitutes a "class 1 transaction" under the Listing Rules of the FCA and therefore completion of the Proposed Purchase is conditional upon shareholder approval. Accordingly, the Class 1 General Meeting has been convened for this purpose and will be held at 15:30 p.m. (CEST) (or as soon thereafter, as the Company's 2023 annual general meeting shall have been concluded or adjourned) on 2 August 2023, at Crowne Plaza Geneva, Avenue Louis-Casai 75-77, 1216 Geneva, Switzerland.
Shareholders who are Non-Qualifying Nationals were sent Restricted Share Notices informing them of the number of Ordinary Shares that will be treated as Restricted Shares and consequently the number of Ordinary Shares in respect of which they shall be entitled to exercise their voting rights at both the AGM and the Class 1 General Meeting on 11 July 2023.
