The Company was informed that on 16 April 2004, the Trustees of the John Wood
Group PLC Employee Share Trust ('the EST') acquired 1,170,251 ordinary shares in
the capital of the Company at £1.29957 per share to satisfy future obligations
arising from share options granted under The John Wood Group PLC (No 1) 2002
Executive Share Option Scheme, The John Wood Group PLC (No 2) 2002 Executive
Share Option Scheme, The John Wood Group PLC (No 1) 2003 Long Term Retention
Plan and The John Wood Group PLC (No 2) 2003 Long Term Retention Plan.
Following this purchase, the EST holds a total of 15,776,591 ordinary shares
representing 3.265% of the share capital of the Company. The class of
discretionary beneficiaries for whom the EST holds such shares consists of
employees of the Company, including the following executive directors of the
Company: William Edgar, Allister G Langlands, Wendell R Brooks, and Alan G
Semple. Each of such directors is accordingly deemed to be beneficially
interested in all of such shares held by the EST.
