John Wood Group PLC ('Company')
The Company was informed that on 23 June 2005, the Trustees of the John Wood
Group PLC US Employee Share Trust (the 'US EST'):
• sold 30,000 ordinary shares in the capital of the Company at a
price of £1.7028 per share, being 0.0061% of the share capital of the Company
pursuant to exercises of share options under the John Wood Group PLC 2000
Approved Executive Share Option Scheme and the John Wood Group PLC 2000
Unapproved Executive Share Option Scheme (together 'Schemes').
Following these transactions, the US EST holds a total of 2,265,000 ordinary
shares representing 0.462% of the share capital of the Company.
The class of discretionary beneficiaries for whom the US EST holds such shares
consists of employees of the Company, including the following executive
directors of the Company: Wendell R Brooks and Alan G Semple. Each of such
directors is accordingly deemed to be beneficially interested in all of such
shares held by the US EST.
