                Results of Extraordinary General Meeting ('EGM')

At the EGM held on the 16 March 2004, the resolution to approve the
establishment of an Executive Co-Investment Plan was approved unanimously by a
show of hands.

Proxy votes were cast by shareholders representing 67.2% of the Company's issued
share capital. The voting by proxy was as follows:-
