Merger with Young & Rubicam Inc. ('Y&R')
Publication of Circular convening an EGM for 29 September, 2000
and the publication of listing particulars
On 12 May, 2000, WPP announced that it had agreed the terms of a merger with
Young & Rubicam Inc., which in view of the size of the transaction, is
conditional upon, inter alia, the approval of WPP share owners. WPP has, on
25 August, 2000, published a circular, setting out details of the merger and,
convening an extraordinary general meeting for 10.00am on 29 September, 2000
at which share owner approval of the merger will be sought. The merger is
also conditional, inter alia, upon the approval of Y&R share owners at a
special meeting to be convened for 28 September, 2000. As the merger will
involve the issue of up to 433,710,712 WPP ordinary shares, WPP has also
published, on 25 August, 2000, listing particulars which have been sent to
share owners with the circular. Assuming that both sets of share owners
approve the merger and that the various other approvals and regulatory
consents are obtained by this date, completion of the merger is expected to
take place on 3 October, 2000.
