On 27 September 2001 WPP received the following notification pursuant to
section 198-202 of the Companies Act 1985 from T. Rowe Price Associates. The
registered interests are those of T. Rowe Price Associates Inc and its
subsidiaries (together T. Rowe Price).

T. Rowe Price has increased its beneficial interest to 34,791,190 WPP Ordinary
shares. This holding represents 3.05% of WPP's issued Ordinary Share Capital.
