              Extraordinary General Meeting
                                                       
At an Extraordinary General Meeting of the Company held
earlier today, share owners passed resolutions approving
the merger with Young & Rubicam, Inc. Young & Rubicam
share owners had approved the merger at a meeting held
yesterday.

It is expected that completion of the merger will occur
shortly.
