DISCLOSURE UNDER RULE 3 OF THE RULES GOVERNING SUBSTANTIAL ACQUISITIONS OF
SHARES DIRECTOR'S DEALING/SUBSTANTIAL INTEREST IN SHARES
The Company has been informed by fax dated 3 September 2002 that on 3 September
2002 York & District Investment Company Limited ('York') sold 570,700 ordinary
shares of the Company to Mr Philip Collins, the Chairman of the Company, and his
family interests at £2.23 per share totalling £1,272,661.

Mr Collins is deemed to be acting in concert for the purposes of the City Code
with his siblings and their spouses in relation to their existing holdings of
89,399 ordinary shares, amounting to an aggregate of 2.83% of the Company's
issued share capital, and which taken together with the above holdings amounts
to 943,435 ordinary shares, representing 29.90% of the total issued share
capital of the Company.
As a result of the sale York's holding of ordinary shares has reduced from
946,416 representing 29.99% of the Company's issued share capital, to 375,716
representing 11.91% of the Company's issued share capital.
1 Which includes 3,200 ordinary shares held on trust for Mr Collins' children.
2 Which means Mr Collins and Mrs Collins as trustees of the Collins Children's
Settlement dated 2 September 2002 ('the Trust'). The beneficiaries of the Trust
are Mr and Mrs Collins' children.
