Xaar PLC ('The Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange for a block listing of 1,250,000 ordinary shares of 10p each to
be admitted to the Official List.

These shares, ranking pari passu in all respects with the existing ordinary
shares in issue, will be allotted pursuant to the exercise of options and to the
rules of the following schemes

Xaar Technology Limited 1992 Unapproved Scheme 190,000 shares

Xaar Technology Limited 1997 Unapproved Scheme 246,530 shares

Xaar plc 1997 Share Option Scheme 410,881 shares

Xaar plc Share Save Scheme 402,589 shares

These shares will not be allotted immediately but as and when the scheme rules
allow.
