NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL
RESPONSIBILITY OR CONNECTED PERSONS

The Company received a notification on 10 October 2005 from Barclays Private
Bank & Trust Limited as trustees of the Xaar Plc Employee Benefit Trust
informing it that the trustees purchased 35,000 ordinary shares on 6 October
2005 at 285p per share.

The Trustees total interest is currently 112,500 shares representing 0.186% of
the Company's issued ordinary share capital. The announcement is made due to the
potential interest of the Directors and persons discharging managerial
responsibility.
