YOUNG & CO'S BREWERY PLC
RECEIPT OF NEW GPG RESOLUTION
The Board of Young & Co's Brewery PLC ('Young's'), today announces that it has
received notification from Guinness Peat Group plc ('GPG'), which holds 10 per
cent of the voting shares, of a new Ordinary resolution to be put before
shareholders at the Company's Annual General Meeting to be held at Wandsworth
Town Hall on Tuesday 17 July 2001.
In summary, GPG's resolution calls for the Directors to formulate proposals
for the Company to be transferred to the sole ownership of the Young family
and connected persons by means of a scheme of arrangement at a proposed price
of £10 per voting share and £7.50 per non voting share. For the avoidance of
doubt, the Board has received no approach from the Young family or connected
persons or any other party.
The Board of Young's notes the unusual nature of this year's proposal, which
would appear to indicate a change of approach by GPG. These proposals have
been delivered too late to be included in the Annual Report, which has just
been posted to shareholders, accordingly, GPG's resolution will be distributed
to shareholders separately in compliance with the Companies Act 1985.
