SCHEME OF ARRANGEMENT CIRCULAR POSTED TO SHAREHOLDERS; NOTICE OF EGM TO BE HELD
ON 17 JUNE 2002



Zen Research plc ('Zen' or the 'Company') announces that the Scheme circular
outlining Mr. Gilo's proposal, whereby all shareholders save Mr. Gilo and
certain of his family interests will receive 10p in cash and have their shares
in Zen cancelled, has been posted to Zen shareholders today. The Scheme circular
contains notices of a court meeting and an EGM to be held on 17 June 2002.



A copy of the above documents have been submitted to the UK Listing Authority
and will shortly be available for inspection at the UK Listing Authority's
Document Viewing Facility, which is situated at: Financial Services Authority,
25 The North Colonnade, Canary Wharf, London E14 5HS.  Tel. no. (0)20 7676 1000
