Scheme of Arrangement effective

Further to the announcement on 16 July 2002, the Board of Zen Research plc ('Zen
' or the 'Company') announces that earlier today the Reduction of Capital was
confirmed by the High Court and the Scheme has become effective.  The cash
consideration to be paid to Scheme Shareholders under the Scheme is expected to
be posted by no later than 31 July 2002.

The listing of the Ordinary Shares on the Official List will be cancelled with
effect from the commencement of business on 18 July 2002.

Expressions used in this announcement have the same meaning as in the Circular
to Zen Shareholders dated 24 May 2002.
