Director's Shareholding

This announcement follows announcements made on 6 November 2000 and 31 January
2001 regarding the Waring family shareholding in Northgate plc.  The Company has
been notified that, as a result of further rationalization of the family's
interests, Mr Waring has become interested in an additional 31,389 ordinary
shares in the company, representing approximately 0.05 percent of the company's
issued ordinary share capital.  Mr Waring therefore now has an interest in a
total of 1,673,100 ordinary shares in the company, representing approximately
2.75 percent of the company's issued ordinary share capital.  His interest in
15,100 shares is beneficial and in 1,658,000 shares is as a discretionary
beneficiary of various family trusts.
