Director's shareholding

Further to the announcement of 6 November 2000 regarding the Waring family
shareholding in Northgate plc, the company has now been advised that the
reorganisation process was completed on 25 January 2001.  As a result of this
reorganisation, Mr Waring is interested in 1,641,711 shares in the company,
representing approximately 2.7 percent of the company's issued ordinary share
capital.  The interest in 15,100 shares is beneficial and that in 1,626,611
shares is as a discretionary beneficiary of various family trusts.
