Update on General Meeting
On 12 March 2019 Northgate plc ("Northgate", the "Company" or the "Group") announced that Crystal Amber Fund Limited ("CAFL") had formally requisitioned a General Meeting of the Company. CAFL proposed two resolutions; to remove the chairman and to appoint a new independent director.
On 28 March 2019 the Group announced that its Chairman, Andrew Page, had informed the Board that, after over four years with the Company, he would step down from his role as non-executive Chairman and from the Board with immediate effect. The Company has commenced a process for Andrew's successor. Consequently, the first resolution was then made redundant.
Northgate confirms that earlier today it received notice of the withdrawal of CAFL's second resolution. Therefore, there is no longer a requirement to hold the General Meeting of the Company.
Northgate welcomes the withdrawal of the requisition notice by CAFL and looks forward to continuing constructive engagement with all shareholders, maintaining its high standards of corporate governance and driving enhanced returns for all shareholders.
