Ten Alps Communications PLC 25 May 2004 For Release 07.00am 25 May 2004 Ten Alps acquires leading TV documentary company Blakeway Productions for up to £1.025m Ten Alps Communications PLC ('Ten Alps'), the AiM-listed media group, announces the acquisition of award-winning TV documentary production company Blakeway Productions Limited ('Blakeway') for an initial consideration of £400,000. The acquisition deal is based on Net Assets of Blakeway of at least £250,000. Blakeway had cash of £164,440 as at 31 March 2004 (audited). The average profit before tax for the last three financial years was £207,000, on average turnover of £2,187,000. London-based Blakeway is a producer of factual programming, with around 50 significant productions in its 10-year history. Amongst films Blakeway has produced has been The Falklands War: A Very British War for Channel 4, The Major Years for the BBC, the critically acclaimed Empire: How Britain Made the Modern World for Channel 4 and The Queen's Story for ITV. Blakeway is the third successful documentary production company acquired by Ten Alps since 2002 as it seeks to become a UK leader in factual TV, with specialist companies in different key niches of the business, such as political or history programming. Ten Alps group companies today have 11 significant TV series and six further documentaries in production. Blakeway's projects contracted since the new financial year began in April 2004 have a total value of £1.9m. They include The Long War, a major series about the Second World War for Channel 4; a four part series about the unknown stately houses of Britain named Hidden Treasure Houses for Five; and a 90-minute film Churchill in Command of History, for BBC4/BBC2. On June 5, Channel 4 will broadcast Blakeway's film American Colossus, with academic Niall Fergusson. 'Blakeway is a busy documentary production company with an excellent reputation and an interesting programme library - and it's a good business,' said Brian Walden, Ten Alps Chairman. 'Our shareholders will have enjoyed watching Blakeway programmes in the past - and now they have an opportunity to help to produce more in the future. We're very pleased.' Denys Blakeway, the company's 48-year-old founder, said: 'I am delighted to be joining Ten Alps to be part of a group whose work I have admired and respected. In the rapidly changing world of broadcasting, smaller independent companies need the financial muscle and editorial support that a merger with Ten Alps will bring.' Blakeway Productions has a particularly strong niche in royal films, having made programmes about The Queen, Prince Charles, Princess Diana and Prince William for BBC1, ITV and TV channels in the US plus elsewhere internationally. The core producers and Kate Macky, Head of Production, have signed earnout and service contracts. Bob Geldof, co-founder of Ten Alps, said: 'Times are changing fast in the British TV industry, particularly at the BBC, and we believe there is a shift from the lifestyle TV which dominated the past five years, back to higher quality factual material. It's about time, too. People want to see reality on TV, rather than yet more reality TV.' Alex Connock, Ten Alps Chief Executive, said: 'High-production-value factual programming can be internationally marketable, and it has a longer shelf-life than reality TV. Documentaries such as those made by Blakeway are one field in which British TV unquestionably leads the world.' If Blakeway made total pre-tax profits of £600,000 in the next two years, the consideration would be the headline £1.025m figure. The financial detail of this earnout is as follows. (1) The initial consideration of £400,000 was funded from Ten Alps' existing balances. (2) In each of the years to March 2005, pre-tax profits between £80,001 and £150,000 will be matched by cash payments on a multiple of 1.166:1. If the pre tax profits are above £150,000 in the first year, the excess will carry forward. (3) Following the March 2006 year-end, any excess above £150,000 average profits for the two years will again be paid on a multiple of 1.166, in either cash or new shares (at the prevailing market mid-price) at Ten Alps' discretion, up to a limit of £350,000.
