Zoo Digital Group plc announces that it has been informed that on 16th September
2002 Ian Stewart, the Company's Chief Executive, exercised an option to acquire
1,004,260 ordinary shares at a price of 3p per share from Mr Stephen Bailey. Mr
Stewart was granted authority to acquire these shares pursuant to a Rule 9
whitewash waiver approved at an extraordinary general meeting of the Company
held on 11 May 2001.
Following the acquisition Mr Stewart holds 51,180,298 ordinary shares in the
Company, representing 32.44 per cent. of the Company's issued ordinary share
capital. Mr Bailey now holds 8,262,948 ordinary shares in the Company
representing 5.24 per cent. of the Company's issued ordinary share capital.
