ZOO Digital Group plc ('the Company' or 'ZOO')

Notifiable Interest and Clarification of Significant Shareholding

On 22 October 2003, ZOO received notification from significant shareholder Dr
Richard Gordon Oliver of share transactions conducted by him between the dates
of 27 June 2003 and 20 October 2003. Dr Oliver's shareholding in the Company
prior to this notification was 8,900,500 ordinary shares representing 4.02% of
the current issued share capital.

From this notification it has also become apparent however that Dr Richard
Gordon Oliver and Ms Karen Allaby are connected parties for the purposes of the
AIM Rules. As detailed in the announcement released on 3 June 2003, Ms Karen
Allaby's holding in the Company, as at 3 June 2003, was 4,016,968 ordinary
shares representing 2.55% of the then issued share capital of the Company and
1.81% of the current issued share capital.

Therefore, prior to the share transactions subject to the notification referred
to above, the interest of Dr Oliver and connected parties in the share capital
of the Company was 12,917,468 ordinary shares representing 5.83% of the current
issued share capital. Furthermore, since the announcement released on 3 June
2003, Ms Karen Allaby has transferred her entire holding in the Company to Dr
Richard Gordon Oliver.

On 14 October 2003, Dr Oliver sold 100,000 ordinary shares in the Company at a
price of 9p per share representing 0.04% of the current issued share capital.

Following this transaction the interest of Dr Oliver in the share capital of the
Company has reduced to 10,966,968 ordinary shares representing 4.95% of the
current issued share capital.

The ordinary shares referred to in this announcement are the issued ordinary
shares of 0.2p per share.
