Holding in Company
The Board of ZOO Digital announces that it received notification on 30 June 2005
from Herald Investment Trust plc ('HIT') that HIT had purchased 2,900,000
ordinary shares of 0.2p each in the Company as part of the recent placing of new
ordinary shares announced on 25 May 2005. Following this purchase of shares, HIT
is interested in 22,900,000 ordinary shares of 0.2p each in the Company
representing 7.22% of the current issued share capital of the Company. The
shares are held under BNY (OCS) Nominees Limited.
Six-monthly Block Listing Application Update
On 22 December 2004, the Company applied for block admission of 18,544,746
ordinary shares of 0.2p each ('New Ordinary Shares') to be admitted to the AIM
market of the London Stock Exchange under three separate Company Share Option
Schemes, with admission becoming effective on 30 December 2004.
The Company can confirm that during the six month period to 29 June 2005 a total
of 430,000 New Ordinary Shares were issued under the ZOO Digital Group plc
Enterprise Management Incentive Scheme. Furthermore, options over 83,750
ordinary shares under this scheme have now lapsed.
The balance of ordinary shares remaining unissued under the block listing
application is 18,030,996 as follows:

Further Block Listing Application
The Company announces that a further application has been made to the AIM market
of the London Stock Exchange for the block admission of an additional 1,101,250
New Ordinary Shares under the following Company Share Option Schemes:
ZOO Digital Group plc Enterprise Management Incentive Scheme 101,250
ZOO Digital Group plc Unapproved Employee Share Option Scheme 1,000,000
It is expected that dealings will commence under the above application on 6 July
2005.
The total number of ordinary shares under block admission, following
commencement of dealings in the above application, will be 19,132,246 as
follows:
