and Sale and Transfer of Ordinary Shares by the ZOO Employee Share Trust Limited
ZOO Digital Group plc, the provider of localisation and digital distribution services for the global entertainment industry, announces that, on 25 April 2018, 10,000 ordinary shares of 1 penny each in the share capital of the Company ("Ordinary Shares") were allotted pursuant to an exercise of options over Ordinary Shares by certain employees of the Company.
Application will shortly be made to the London Stock Exchange for the 10,000 new Ordinary Shares to be admitted to trading on AIM ("Admission") and dealings are expected to commence at 8.00 a.m. on or around 1 May 2018. The new Ordinary Shares will rank pari passu with the Company's existing Ordinary Shares.
The total number of Ordinary Shares in issue following Admission will be 73,783,655. There are no Ordinary Shares held in treasury. The total number of voting rights in the Company is therefore 73,783,655. This number may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
Sale and Transfer of Ordinary Shares by the ZOO Employee Share Trust Limited
The Company was notified on 25 April 2018 that on that date the ZOO Employee Share Trust Limited ("ZEST"), sold 8,800 Ordinary Shares at a price of 99.033 pence per Ordinary Share on behalf of employees who held Ordinary Shares through ZEST and additionally transferred 2,800 Ordinary Shares at nil cost to an ex-employee.
ZEST is a wholly-owned subsidiary of ZOO, the purpose of which is to hold shares in ZOO for the benefit of the employees of the Group, some of the Ordinary Shares are held on trust for specific employees and the balance are held with ZEST as beneficiary, to be awarded in the future. The Company notes that, as Stuart Green and Helen Gilder are trustees of ZEST and are potential beneficiaries of ZEST, they are therefore treated as having an interest in the Ordinary Shares held by ZEST.
Following the above transaction, ZEST holds a total of 263,435 Ordinary Shares; of which ZEST as beneficiary holds 186,997 Ordinary Shares and ZEST, on behalf of specific employees holds 76,438 Ordinary Shares.
