('ZOO' or the 'Company')
Result of AGM
The Board of ZOO is pleased to announce that at the annual general meeting of
the Company ('AGM') held earlier today, all the resolutions proposed were
passed. The resolutions passed at the AGM included a resolution to reorganise
the share capital of the Company by way of a consolidation of the issued and
authorised share capital. The consolidation of the share capital will result in
every 75 ordinary shares with a nominal value of 0.2 pence each in the capital
of the Company being consolidated into 1 new ordinary share with a nominal value
of 15 pence each.
The consolidation of the share capital will become effective on Tuesday 24
October 2006. Shareholders on the register at the close of play on Monday 23
October 2006 will receive 1 new ordinary share for every 75 ordinary shares then
held. The new ordinary shares will be identical in all respects to the existing
ordinary shares, save in respect of their nominal value which will increase from
0.2 pence to 15 pence.
It is expected that dealings in the existing ordinary shares will cease at the
close of business on Monday 23 October 2006. Application has been made for the
admission of the new ordinary shares to trading on AIM and it is expected that
admission of the new ordinary shares will become effective and dealings will
commence on Tuesday 24 October 2006. It is expected that CREST accounts will be
credited in respect of the new ordinary shares on Tuesday 24 October 2006 and
that replacement share certificates will be despatched by 27 October 2006.

unique video production technologies. Our successful fundraising of £3.9
million last month will enable us to continue developing the business and the
