Board Update
Zytronic, a leading specialist manufacturer of touch sensors, provides the following update.
Further to the announcement made on 4 October 2022, David Buffham has indicated his intention to retire from the Board with effect from 31 October 2022, on the grounds of ill health. The Board would like to express its gratitude to David for his years of support and guidance over his tenure.
Mark Cambridge will continue to act temporarily as Executive Chair and the Board will continue its search for at least one further independent non-executive director in order to comply with the QCA Corporate Governance Code. The Board will update the market in due course.
During this interim period and to provide additional control in the conduct of Board business, the Directors have agreed that a quorum will not ordinarily be established at a meeting constituted of solely Executive Directors. It has further agreed among its current members that all Board decisions during this time will either be agreed unanimously, or one of the Executive Directors will abstain from voting on the matter in question and the Independent Non-executive Director will therefore carry the casting vote.
